Silksbazaar is a niche and unique marketplace, where seller can sell only Pure silk and pure silk blended with any other fabric related products, which can be curated, assorted or generic. To the buyer directly, with the help of silksbazaar’s value added services to make sure the transaction should be smooth and transparent between buyer and seller. We want to make sure that you and your buyers have a positive experience on silksbazaar. Please read on to find out more about your rights and obligation as what is expected from you, as a seller.

This seller policy is a part of silksbazaar’s terms and conditions. By registering/opening a sellers account in the silksbazaar.com, you are agreeing to this policy and silksbazaar’s terms and conditions.

Seller Registration

A user who wishes to sell his/her products on the website shall register with the silksbazaar.com, by providing the requisite information/data on the silksbazaar’s seller registration page including details of the seller’s valid bank account. The seller shall provide true, correct and duly authorized data/information and shall not be misleading, fraudulent, false, unauthorized and otherwise illegal. The Company(Silksbazaar) has rights to suspend/terminate the Sellers registration request and the use of the website by the seller that aforesaid data is misleading or does not comply with the user agreement and the rules and polices made thereunder and in such case the seller also be liabilities, risks, damages and consequences that may arise.

Invoice, shipping and tax liabilities:

Invoice - To be make sure, silksbazaar.com is a marketplace platform service providers, we connect the buyers and sellers whereby as sellers you are selling the products to the buyers via our platform and we are charging marketplace fee/commission for the services associated with it. As per the marketplace regulation providing the invoice to the customer is sellers responsibility.

Shipping - you can avail our logistic service providers for the shipping to the domestic and international consignment or you can ship by your own courier partner. For all the COD(Cash On Delivery) transaction, silksbazaar has appointed the best logistic provider in india, and the courier must ship through them.

Tax Liabilities - Any taxation related to sale of your products like GST etc, is the sellers responsibility. Also liabilities arising from the use  and/or interaction with your products is solely your responsibility and silksbazaar.com will not be responsible for any loss or damage due to your products.

What can be sold on Silksbazaar.com

Silksbazaar.com is unique and niche marketplace. Buyers come to silksbazaar.com to purchase the products that might not find anywhere else(curated or assorted). Everthing listed for the sale on the silksbazaar.com must be Pure Silk or Pure Silk blended with any other fabrics related products.

That can be handloom, powerloom or handcrafted or any items which is made or used Pure Silk or Pure Silk blended with any other fabric.

What Cannot be sold on Silksbazaar.com

Even if they otherwise meet our Pure Silk or Pure Silk blended with any other fabrics related products criteria, prohibited items, services and items that violate our intellectual property polices are not allowed to be sold on silksbazaar.com.

And list is in the bottom of the page, which is prohibited/Restricted to sell in our website. Named as ANNEXURE 1

Hold, Suspend or Terminate of Seller Registration

In case of any breach or violation or suspected of any of the provisions of this policy or the user agreement, the Company(Silksbazaar.com) may suspend/terminate the seller registration account or may put the remittances on hold with respect to such seller. The Company(Silksbazaar.com) may re-activate the seller’s registration account or remit the transaction which is been on hold to the seller, only in the case subjected to the seller should provide such information, data, documents and undergoing such verification as may be desired by the company and as provided in the user agreement or the rules and polies made thereunder. Seller’s registration account is subjected to the seller remaining an active user of the website. Upon identifying or being notified by any person or by law enforcement agency that seller has violated any law in the performance of transaction, the company may immediately suspend seller’s registration account and notify law enforcement or any other authority including banks for the appropriate action or act in the any other way to cooperate with the authorities or protect its interests.

Documents of the sellers

As per the company policy, Seller’s are requested to provide the necessary documents for the KYC (Know your Client) purpose and further usage of the seller registration account and website shall be subject to the seller’s submission of the required KYC documents.

“KYC Documents” shall mean such information, data or documents as may be specified by the company from time to time which is clearly and unambiguously verifies the details, including the sellers bank account provided by the seller at the time of seller registration.

Marketplace Fee and other charges Applicable to the seller

The Company(Silksbazaar) shall impose marketplace fee/charges from time to time for providing the platform, services etc, to sell on silksbazaar.com, to the sellers in accordance with the Marketplace fee policy incorporated herein by reference. The company will provide the seller with an invoice reflecting the marketplace fee/charges on a monthly basis. If the seller avails any of the services provided under silksbazaar’s logistic partner by the company, the seller will be liable to pay additional fees, charges in respect of the services availed as set out the Marketplace fee policy.

The company (Silksbazaar) reserves the rights to change the Marketplace fee policy and the related charges rules and polices from time to time. The company (Silksbazaar) may introduce new services and modify some or all of the existing services offered on the website or by the company, being in the competitive world silksbazaar.com should implement for the innovation and creativity and such make sense to be more effective and efficient to our seller and buyer. Any changes shall be effective from the date, that the company introduce or modify the same on the website.

The seller will be responsible for paying all the charges associated with the use of the website and/or Silksbazaar’s logistic partner and agrees to bear any and all the applicable taxes, charges, cesses, surcharge’s etc. At the time of the settlement the company(silksbazaar.com) will deduct such charges from the Transaction amount to be remitted to the seller. The company (Silksbazaar.com) shall issue the invoice after such deduction and remittance. Unless otherwise provided, the charges are payable by the seller irrespective on any charge back, refund or non-fulfillment of the transaction.

Product Listing

Note – You should make single listing for the each product that is offered for sale through silksbazaar.com. if you propose to sell more than one identical product, you should make a separate listing for the each of them and if all the listings results in successful sale, you must be in a position to fulfill all such orders. All listed products must be listed in the appropriate category on the website.

And the sellers hereby agrees not to list and sell any products on the website that is set out in the list of Restricted Products set out in ANNEXTURE 1 hereto.

All listed products must be kept in stock for the successful fulfillment of sales. No listing can contain a disclaimer that suggests that a sale will be completed or order will be confirmed only if the item is available with the user, who is listing the products. You agree that you shall not list a product if you are not in a position to deliver the product immediately. And if you are selling the listed products in offline or in the other portals, then it is your responsibility to change the status as sold or make it as “0” so that the listing wont be available in the our website. If the changes are not done and could not deliver the products to the buyer who have order the same products. There will be serious action will be taken against the seller or may be suspend or terminate the Seller registration account and put them in the blacklist.

You are not entitle to make any listing in the nature of “wanted advertisements” that do not offer to sell products but to invite users to make an offer to you for the sale of any products.

You will also not make any offer, either online or offline, or by making another listing on a different website, to sell products once you have made a listing with respect to such product on the website. You will not make a listing on the website with respect to product which is subject to an existing online or offline offer which can be validly accepted, including listing on the website or other websites.

In no circumstances or situation you will attempt to divert any user through your listing to any other webpage or provide him any information in order to conduct any transaction outside of the website.

The Company(Silksbazaar) shall deemed to remove the listing which is listed under prohibition/Restricted products according to the law(which have mentioned in Annexure 1).

Positive Reputation through our Reviews System

Reviews are the great way for the seller to build a brand and reputation on Silksbazaar.com. buyers can leave a review, including one to five star rating.

This helps the seller to generate more sale and more visible in the market.

Extortion

Extortion is strictly not allowed on silksbazaar, any attempt to manipulate reviews through threats, intimidation, or bribery is considered as extortion and is strictly prohibited on silksbazaar. Extortion includes when a seller offer a buyer additional goods, services or compensation in exchange for a positive review.

No Infringement of IP (Intellectual Property of Company and Third Parties

Sellers must ensure that the listed products do not infringe upon the intellectual property, TradeMark, Copyright, Trade secret or other proprietary rights or rights of publicity or privacy rights of any third party.

Listing should include content created by you in the form of text descriptions, graphics and catalog that describe your product for sale. You agree that usage of logos or trademark owned by third parties producers or manufactures can lead to infringement of the intellectual property rights of such third party. The consequences faced by using the such trademark or intellectual property on the website will be the seller responsibility. And with hold the website and the company indemnified and harmless against any claim by the third parties that may arise in the respect of such use. You also agree that under no circumstance you will use brand names and trademarks and copyrights which are not owned by you, unless the products that you are listing on the website carries the brand name or trademark of its original manufacturer or producer. Finally you should agree to not to use any IP related things(TM, Copy rights etc.) of the website or the company. You should not represent yourself that you are affiliated or associated with the website or the company or that you have any rights to represent the website or the company. 

Description of listing

Seller should provide appropriate required description for the products which the seller have listed and it is the sellers responsibility to frame the description of the products. Description should as follows

It should be accurate and complete in all the respects.

It should be not misleading the products

If the products description does not match the actual condition of the product, you should agree to refund any amounts that you may have received from the buyer.

No such unrelated words should be used in the description.

You shall not provide any information such as a catalogue of your products which contain your contact details in your listing or on the items or packaging thereof which will enable a buyer to contact you outside the website to buy such product directly from you instead of buying the products through our website. You shall not solicit users to send you payments by any method not approved or provided for on the website by the company.

Any image used in the listing must be of actual product proposed to be sold and shall not use any other images from the generic or public websites.

Sellers should not endorse any products other than that being listed by you anywhere in the website. You agree not to provide any description in any listing made by you in any manner that suggest you are in any way connected to representing or selling on behalf of a manufacturer or producer or designer of the products unless you are the manufacturer or producer or designer or you should have an approval letter in written to entitled to represent as such.

Categories

The company provide almost all required categories which is made up of pure silk or pure silk blended with any other fabrics, Seller should take adequate care to list products in the appropriate category. Failure to do so may result in cancellation of listing.

Method of Payment

Silksbazaar.com accepts payments from the buyers by COD (Cash On Delivery), all major nationalized bank, net banking, credit card, debit card and also EMI acceptance credit card.

Silksbazaar.com release the payment to the seller through NEFT or Cheque.

Possession of the Products

Sellers should confirm that you shall be the sole and legal owner of all products that you have listed to propose an offer for sale on the website. You shall have rights and owner ship of the products and it should be free from encumbrance, lien, charge and adequate title and authority to deal in and offer for sale such products listed by you in our website. If you come across that any transaction or any processing transaction relating to such product listed on the website is violate of this clause or this user agreement or applicable laws, the seller shall entitle to inform the company of the same forthwith.

Non Payment

The Company reserves the rights to issue warning letter, suspending the seller registration account or terminating your seller account in our website in case of non-payment of Marketplace fee or any other associated fee or charges by using our additional services. The company also reserves the rights to take legal action in against the seller for the non-payment.

International Trading

Seller will be responsible to ensure that before listing a product for sale on the website, such product can be shipped outside India under the applicable laws.

If you list against the laws, than you will be liable to make good any loss suffered or cost borne by the website, the company or the other user who rely such listing including reimbursement of any service charges incurred towards the Company facility or any other mode of payment or payments made towards taxes or government charges or levy in respect of such product. You are prohibited from selling any products to buyers in the countries with which trading is prohibited or under embargo as imposed by Government of India.

Obligation to sell

Once the buyer have confirmed the order and paid the money through electronically, that means the sale is considered complete and all property and title in the listed product passes to the buyer. You cannot refuse to sell the product or fail to deliver the product after the payment has been successfully made. In case of the sale of the item wherein the buyer has opted for Cash on Delivery as a payment method, then the sale is considered complete and all the property and title in the listed products passes in to the buyer only after payment of the transaction amount and delivery. Unless there is an exceptional circumstance.

Pricing

The company do not impose the price directly or indirectly to the sellers, but the product proposed to be purchased shall include, if applicable, the shipping charges, collection charges and all other taxes, duties, costs, charges and expenses in respect thereof. The pricing of the products should be competitive with the market. If the buyer makes payment in any currency other than INR (Indian Rupees), the cost of conversion/exchange rate shall be borne by the buyer.

Honor your shipping and processing time, you should obligated to ship a products or otherwise complete a transaction with a buyer in a prompt manner, unless there is an exceptional circumstance.

Payment Confirmation

In case the payment is done by electronically, upon the successful receipt of the transaction amount by the company from the buyer within 3-4 days of booking the transaction and completion of verification of the payment, the company shall notify the buyer and seller that the transaction amount has been received.

In case of Cash On Delivery, the company shall notify the buyer and seller that the buyer has committed to pay the transaction amount by the cash on delivery.

Dispatch of Products

The sellers are required to dispatch the products for every transaction to the buyer within 2 days from the date of confirmed order.

Delivery date

The time within the sellers are required to ensure to delivery the products to the buyer shall be within the 8 days for the delivery within India and within 21 days for the delivery outside India.

Currently the logistics time line is required 3-4 days for domestic and 8-10 days for the international shipping.

The above 8 and 21 days in the worst conditions and some place required the specified, so averagely the time of delivery should be as minimum.

Settlement to the sellers

Sellers agrees that the transaction amount paid by buyer will be remitted to seller’s bank account contingent upon the following events:

Buyer confirming the delivery of the products in the transaction, or buyer not taking any action on the website to confirm delivery or non-receipt of the product within 5days of expiry of the prescribed delivery date and time despite the confirmation of dispatch of the product by the seller to buyer, or

Buyer does not raise refund claim within 5days of expiry of the prescribed delivery time or date or such claim has been raised by the buyer later the 5 dated, the same is rejected by the company on the account of any breach of the Terms and conditions and the rules and policies made thereunder and/or applicable law, or

All remittances to sellers in respect of cash on delivery (postpaid) or electronic transfer(prepaid) transaction shall be made through NEFT/online bank transfer or Cheque/Demand draft to seller’s bank account.

The remittance of the transaction will be made only after the deductions of the marketplace fee, (which includes commission + shipping charges + collection fee), as this is the transparency of transaction between seller and the company.

Generally it take 14-16 days to transfer the settlement amount to the seller’s bank account, or as per the RBI rules the transfer would be done within 21 days and only after the payment received from the logistic partner and payment gateway partner are reconciled with the company (silksbazaar). 

The company(Silksbazaar) reserves the rights to keep on hold the remittance to the seller for the purposes of safety of the Silksbazaar and/or users. In such case, the seller will be intimated and required to complete additional check and verification and the company may contact the seller for the verification of or additional information, details, data and documents. The company reserve the rights to refund the transaction amount that has kept on hold to the buyer, if the required data, documents etc are not provides within stipulated time, or the same is false, misleading, incorrect or incomplete.

Remittances to the Seller for their successful Transactions under the Silksbazaar would be in accordance with the provisions contained herein and applicable laws in India, particularly the directions issued by the Reserve Bank of India from time to time for opening and operation of accounts and settlement of payments for electronic payment transactions involving intermediaries dated 24 November 2009.

Warranties and Undertakings

Seller warrants and undertakes that

All sales of the products listed on the website are on bipartite contracts between seller and buyer. Seller shall be solely responsible for the condition, description, trademark, delivery, warranty, payments, all applicable government taxes and duties, legality, legal title in the relation to the items and other terms and conditions of the transaction. The company (Silksbazaar.com) by providing the facilities on the website and logistic services does not in any way becomes a party to the contract for the sale of the products.

Seller shall maintain proper proof of delivery (POD) of the items sent to the buyer for at least 6 months from the date of delivery. POD’s should be furnished to the company as demanded within the specific period of time it helps to the seller, when the refund is raised by the buyer and they want to return the products or any such circumstance. Fail to furnish POD will be consider as an serious issue and the buyer will be entitled to refund.

In the event that as fallows:

The seller fails to deliver within the stipulated time,

The seller sells or delivers any illegal, prohibited or counterfeit items,

The description of the items listed do not match the actuals of the products or the items are defective or damaged on delivery,

There is any dispute between seller and the buyer relating to the transaction,

The use of a valid card or valid bank account by a buyer while paying transaction amount was unauthorized or was a result of fraud or hacking pf the bank account password, the buyer claims a refund of or charge back the transaction amount.

The company has the rights to take appropriate legal action including rights to set off from subsequent remittances to the seller until such amount is fully recovered. In case the subsequent balances are not enough for the recovery, within a week of receipt of a notice to that effect from the company, the seller shall pay the shortfall to the company. In case the company is not able to recover the shortfall, within the given time, it reserves the rights to take appropriate legal actions against the seller.

Seller further unconditionally indemnifies and hold harmless the Company, its affiliates and its third party service providers and their respective directors, officers and employees against any actions, proceedings, costs, awards, claims and damages however incurred by or arising against them as a result of any act or omission on Seller’s part while entering into and performing the contract with the Buyers or using the Company.

In the event that any Transaction amount remitted to Seller is uncollectible and a claim is raised on the Company in respect thereof, the same shall be Seller’s financial responsibility and the Company shall have the right to recover any such amounts from the Seller in the manner provided herein above without any hindrance/ protest.

Seller shall abide by and complete all Transactions in accordance with the description and conditions mentioned in such Transaction and the provisions of the User Agreement and the rules and policies made thereunder.

Verification and refund

The Seller authorizes the Company to perform certain checks before remitting the Transaction Price to Seller’s Bank Account to ensure the safety of the Transaction, Website and to mitigate any payment risks. As part of performing such checks, the Company will also have the right to hold the remittance to the Seller’s Valid Bank Account and require Seller to furnish certain documents for verification purposes. The Company also reserves the right to refund the Transaction amount back to the Buyer which the Company has withheld or continue holding the periodic payments (including all future payments) in any of the following conditions:

 If the Seller does not provide the requisite verification documents within the prescribed time frame communicated by the Company or as provided in the rules and policies of the Website; or

If the verification documents submitted are invalid, tampered or forged; or

If the verification documents suggest that the Dispatch has been done to an address which is different from the shipping address provided by the Buyer; or

If Seller has provided incorrect or invalid Dispatch Details or has not Delivered the item to Buyer; or

If the Seller has listed an Item which violates the User Agreement or the rules and polices made thereunder; or

If the Seller has Dispatched an item different from the description mentioned on the Transaction, or

The Company is instructed by any law enforcement agency or government or statutory authority to deny or decline or withhold such remittance.

In all the above cases the Company will not be held liable for any loss incurred by the Seller arising out of such refund.

Chargeback

A chargeback occurs when the card-holder disputes a charge on his credit / debit card statement with his card-Issuing Bank. On receiving such complaint from the card-holder, the card Issuing Bank credits the card holder and recovers the amount from the Company. The Company is entitled to deduct such amount from any amount payable to the Seller by the Company. If no such amount is payable the Company may demand such amount to be paid forthwith by the Seller. The Seller will notified of the recovery, if any, through an email and may receive an acknowledgement of payment if requested. If the payment gateway facility provider, bank or the service providers of the Company charge the Company with any penalty or fee or charge for such chargeback in respect of the Transaction which the Company is required to pay, the Seller will be liable to pay such penalty or fee to the Company, and the same may be recovered in the manner aforesaid.

Adult goods and services which includes pornography and other sexually suggestive materials (including literature, imagery and other media); escort or prostitution services; Website access and/or website memberships of pornography or illegal sites.

Body parts which includes organs or other body parts.

Bulk marketing tools which includes email lists, software or other producers enabling unsolicited email messages (spam).

Cable descramblers and black boxes which includes devices intended to obtain cable and satellite signals for free.

Child pornography which includes pornographic materials involving minors.

Copyright unlocking devices which include Mod chips or other devices designed to circumvent copyright protection.

Copyrighted media which includes unauthorized copies of books, music, movies and other licensed or protected materials.

Copyrighted software which includes unauthorized copies of software, video games and other licensed or protected materials, including OEM or bundled software.

Counterfeit and unauthorized goods which includes replicas or imitations of designer goods; items without a celebrity endorsement that would normally require such an association; fake autographs, counterfeit stamps, and other potentially unauthorized goods.

Regulated goods which includes air bags; batteries containing mercury; Freon or other similar substances/refrigerants; chemical/industrial solvents; government uniforms; car titles; license plates; police badges and law enforcement equipment; lock-picking devices; pesticides; postage meters; recalled items slot machines; surveillance equipment; goods regulated by government or other agency specifications.

Securities which includes stocks, bonds, or related financial products.

Tobacco and cigarettes which includes cigarettes, cigars, chewing tobacco, and related products.

Weapons which includes firearms, ammunition, knives, brass knuckles, gun parts and other armaments.

Wholesale currency which includes discounted currencies or currency exchanges.

Live animals or hides/skin/teeth, nails and other parts etc. of animals.

Multi level marketing collection fees.

Matrix sites or sites using a matrix scheme approach.

Work-at-home approach and/or work-at-home information.

Drop-shipped merchandise.

Any product or service which is not in compliance with all applicable laws and regulations whether federal, state, local or international, including the laws of India.

The merchant providing services that have the potential of citing the Payment Gateway Facilitators in a poor light and/or that may be prone to “Buy & Deny” attitude of the cardholders when billed (e.g. adult material/mature content/escort services/friend finders) and thus leading to chargeback and fraud losses.

Business or websites that operate within the scope of law which are not absolutely clear or are ambiguous in nature (Web-based telephony, websites supplying medicines or controlled substances, websites that promise online match making, etc).

Businesses out rightly banned by law (e.g. betting & gambling/publications and content that is likely to be interpreted by authorities as leading to moral turpitude or decadence or incite caste/communal tensions, lotteries/ sweepstakes& games of chance).

The merchant who deal in intangible goods/services (e.g. software download/health/beauty products), and business involving pyramid marketing schemes or get-rick-quick schemes. Any other product or service which in the sole opinion of the EBS or the Payment Gateway facilitators, is detrimental to the image and interests of either of them/ both of them, as communicated by either of them/both of them to the merchant from time to time. This shall be without prejudice to any other terms and conditions mentioned in this Agreement.
